Terms of Service

1. Acceptance of Terms

By accessing or using Chalzy ("the Service"), operated by Chalzy ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Chalzy is a software-as-a-service (SaaS) platform that enables businesses and marketers to create, customize, launch, and manage marketing challenges. The platform provides tools for challenge creation, participant management, content delivery, and engagement tracking.

3. Account Registration

To use the Service, you must create an account through our authentication provider (Clerk). Accounts are organized using organizations for multi-tenancy support. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete registration information
• Notifying us immediately of any unauthorized use of your account

4. Subscription, Billing & Free Trial

Chalzy offers a 14-day free trial that requires a credit card to activate. After the trial period, your selected subscription plan will begin automatically. Key billing terms:

• All payments are processed securely through Stripe
• Subscription plans are available at different tiers with varying features
• You may cancel your subscription at any time through the Stripe Customer Portal
• Cancellation takes effect at the end of the current billing period
• We do not offer partial refunds for unused portions of a billing period
• You are responsible for any applicable taxes associated with your subscription

5. Your Content

You retain ownership of all content you create, upload, or share through the Service ("Your Content"). By using the Service, you grant Chalzy a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute Your Content solely for the purpose of operating and providing the Service.

You represent and warrant that you have all necessary rights to Your Content and that its use on the platform does not infringe on the rights of any third party.

6. Participant Data

When you create challenges and collect participant information:

• You act as the data controller for your participants' personal data
• Chalzy acts as a data processor, handling participant data on your behalf
• You are responsible for obtaining appropriate consent from participants before collecting their data
• You must comply with all applicable data protection laws and regulations in your jurisdiction

7. Acceptable Use

You agree not to use the Service to:

• Send unsolicited communications (spam) to participants
• Create, upload, or distribute illegal, harmful, or offensive content
• Collect data from minors without verifiable parental consent in compliance with applicable laws
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Violate any applicable laws or regulations

8. Third-Party Services

The Service integrates with and relies on various third-party services to provide its functionality. These include but are not limited to:

• Clerk (authentication and user management)
• Stripe (payment processing)
• Supabase (database and storage)
• OpenRouter / Claude (AI content generation)
• fal.ai (AI image generation)
• Pexels (stock photography)
• YouTube (video embedding)
• Resend (transactional email delivery)
• Trigger.dev (background job processing)
• Google Analytics 4 (usage analytics)
• Facebook Pixel (marketing analytics)

Your use of the Service is also subject to the terms and privacy policies of these third-party providers.

9. Website Analysis

During onboarding, the Service may analyze your website using automated tools (Playwright) to personalize your experience and generate AI-powered content. By submitting a URL for analysis, you confirm that you have the authority to authorize access to the submitted website.

10. Intellectual Property

The Chalzy platform, including its design, features, code, and branding, is owned by Chalzy and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand features without prior written consent.

11. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHALZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CHALZY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your access to the Service immediately if you violate these Terms.

Upon termination, your right to use the Service will cease immediately. Your content may be retained for a reasonable grace period to allow for data export, after which it may be permanently deleted.
